Agreement to Terms

By accessing or using TopTune, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.

Use License

Subject to your compliance with these Terms, TopTune grants you a limited, non-exclusive, non-transferable, revocable license to use our platform for its intended purpose.

You agree NOT to:

• Use the service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Upload malicious code or content
• Scrape, copy, or reproduce content without permission
• Impersonate another user or entity
• Harass, abuse, or harm other users

User Accounts

Performer Accounts

When you create a performer account, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use
• Not share your account with others

Audience Participation

Audience members can use TopTune without creating an account. By participating (requesting songs, voting, or tipping), you agree to these Terms and our Privacy Policy.

User Content

Your Content

You retain ownership of content you upload (songs, lyrics, chord charts, etc.). By uploading content, you grant TopTune a license to store, display, and transmit your content as necessary to provide the service.

Content Responsibility

You are responsible for:

• Ensuring you have rights to any content you upload
• Complying with copyright and intellectual property laws
• Not uploading offensive, harmful, or illegal content
• Respecting the rights of other musicians and copyright holders

Payments and Tips

Payment Processing

All payments are processed through Stripe. By using our payment features, you agree to Stripe's Terms of Service and acknowledge that TopTune does not store your complete payment information.

Tips

Tips are voluntary payments from audience members to performers. All tips are final and non-refundable except in cases of fraud or technical error. TopTune may charge a service fee for processing tips (fees are disclosed before payment).

Refunds

Refunds are handled on a case-by-case basis. Contact us at support@toptune.app for refund requests. Refund eligibility is at TopTune's sole discretion.

Intellectual Property

TopTune and its original content, features, and functionality are owned by TopTune and are protected by international copyright, trademark, and other intellectual property laws.

Our trademarks may not be used without our prior written consent. The TopTune name, logo, and all related names, logos, and slogans are trademarks of TopTune.

Prohibited Uses

You may not use TopTune to:

• Violate any local, state, national, or international law
• Infringe upon intellectual property rights
• Transmit spam, advertisements, or unsolicited communications
• Engage in fraudulent activity
• Collect user information without consent
• Reverse engineer or decompile our software
• Use automated tools (bots, scripts) without permission

Service Availability

We strive to maintain 99.9% uptime, but we do not guarantee uninterrupted access to our service. We may modify, suspend, or discontinue any part of the service at any time without notice. We are not liable for any service interruptions or data loss.

Disclaimer

TopTune is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Error-free or uninterrupted operation

Limitation of Liability

To the maximum extent permitted by law, TopTune shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the service. Our total liability shall not exceed the amount you paid us in the past 12 months, or $100, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless TopTune and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your content.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately. You may terminate your account at any time by contacting us.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of TopTune shall be resolved in the courts of the Province of Ontario, Canada.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the service after changes constitutes acceptance of the new Terms.
